Terms of Service

These Terms of Service (the "Terms") explain the rules for using ReplayTok ("ReplayTok", "we", "us"), including our website, dashboard, software, APIs, and related services (collectively, the "Service"). They form a legal agreement between you and ReplayTok.

By creating an account, installing the companion software, or using the Service, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Service.

You must be at least 13 years old to use the Service, or 16 if you are in the European Economic Area, the United Kingdom, or another region that sets a higher age. If you use ReplayTok for a company, agency, or other organisation, you confirm that you are allowed to accept these Terms for that organisation, and "you" refers to both you personally and that organisation.

You are responsible for keeping your login credentials confidential and for everything that happens under your account. Notify us promptly at security@replaytok.com if you suspect unauthorised access. We may require additional verification (email confirmation, multi-factor authentication, or identity checks) before granting access to certain features.

ReplayTok automatically captures your TikTok lives and battles and uploads the recordings to a cloud-storage destination you control. The dashboard organises clips, metadata, and team access; the subscription unlocks higher-tier capture and retention features.

We may add, remove, or modify features at any time. We will give you reasonable notice before removing a paid feature you actively rely on, and where required by law we will offer a pro-rata refund or credit.

You retain all rights in the recordings, captures, account materials, and other content you submit to or generate through the Service ("Your Content"). We do not claim ownership of Your Content.

You give ReplayTok permission to host, transmit, store metadata for, display in your own dashboard, and otherwise process Your Content only as needed to provide, maintain, and secure the Service. This permission is worldwide, non-exclusive, and royalty-free. It ends when Your Content is removed from the Service, except for limited retention required by law and for backups already in progress.

You are responsible for making sure you have the rights and any required permissions to capture and process the streams and footage in question, including from TikTok, your guests, or co-creators where applicable. Your Content must also follow the Acceptable Use rules below.

You agree not to use the Service to do any of the following, and not to help anyone else do them:

• capture, store, or share content you do not have the right to record (including streams or guests where consent is required by law);
• violate any applicable law or regulation, including intellectual-property, privacy, export-control, or consumer-protection laws;
• harass, threaten, defame, or stalk anyone, or facilitate the sexual exploitation of any person;
• upload malware, attempt to bypass security measures, probe for vulnerabilities without authorisation, or interfere with the integrity or performance of the Service;
• scrape, mirror, or build a competing product from Service data;
• resell or sublicense the Service, or share a single account across more users than your plan allows;
• use the Service to send unsolicited messages or otherwise spam third parties;
• misrepresent your identity or impersonate any person or organisation, including ReplayTok staff.

We may limit, suspend, or close accounts that violate these rules, especially where needed to protect users, rights holders, or the Service. To report abuse, email abuse@replaytok.com.

ReplayTok offers free and paid plans. Paid plans renew automatically at the end of each billing cycle (monthly or annual, as you select) at the then-current rate, until you cancel. By subscribing, you authorise us and our payment processor to charge your payment method for each renewal.

Prices are listed in the dashboard and may exclude applicable taxes, which we will add at checkout where required. We may change prices on at least 30 days' notice; the new price applies on the next renewal cycle and you may cancel before it takes effect.

You can cancel at any time from Settings → Billing; cancellation takes effect at the end of the current paid period and you keep access until then. Refunds are governed by the Refunds section below.

EU and UK consumers — 14-day right to cancel. If you are a consumer in the EU or UK, you have 14 days from the start of your first paid subscription to cancel for any reason and receive a refund of the unused portion. To exercise this right, email billing@replaytok.com before the 14 days expire. If you ask us to begin providing the paid service before the cooling-off period ends, you owe us for the portion of the service used up to the date of cancellation.

Failed payments may trigger automatic retry, an in-app notice, and a grace period before the account is downgraded to the free tier. We do not delete data during a downgrade.

From time to time we offer free trials, discounted introductory periods, or other promotional access. The terms of each promotion are stated at checkout. Unless we say otherwise, a trial converts to a paid subscription at the end of the trial period at the rate listed at sign-up; cancel before the trial ends to avoid the charge.

Outside the EU/UK 14-day cooling-off right described above, we do not refund fees for periods you have already accessed. We may, at our discretion, issue a pro-rata credit if (i) we discontinue a paid feature you actively rely on without an equivalent replacement, or (ii) the Service is materially unavailable for an extended period and you ask for one in writing within 30 days.

If you believe a charge is wrong, please contact billing@replaytok.com first. We can usually investigate and resolve billing issues faster than a payment dispute. We may restrict billing access or close an account if repeated payment disputes indicate fraud or misuse.

We aim for high availability but do not commit to a specific uptime SLA on standard plans. The Service may be unavailable for scheduled maintenance, emergency fixes, third-party-provider outages (cloud hosts, payment, identity), or events outside our reasonable control. We try to give advance notice for scheduled windows.

Capture depends on factors outside our control — your stream's availability, network conditions, the responsiveness of your linked storage, and platform changes by TikTok. We cannot guarantee that every match in every stream will be captured. We do guarantee that we will not discard a successfully captured clip from your linked storage on our side.

We sometimes release features as beta, preview, or experimental. These are clearly labelled in the dashboard, may change or be removed without notice, and may be less stable than regular features. Feedback on betas is welcome and falls under the feedback permission described below.

The Service may be subject to United States, European Union, United Kingdom, and other export-control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of, any country, region, or list designated by those laws as embargoed or restricted (including, without limitation, the US OFAC SDN list and comprehensively sanctioned jurisdictions). You agree not to access or use the Service in violation of any export-control or sanctions law.

By creating an account, you agree to receive electronic communications from us — confirmations, security alerts, billing receipts, and notices about changes to these Terms — at the email address on file. You agree that those communications satisfy any legal requirement that such communications be in writing. You can update the email address on file at any time from your account settings.

These Terms are between you and ReplayTok and create no rights for any third party. Nothing in them entitles a third party to enforce any provision under the UK Contracts (Rights of Third Parties) Act 1999 or any equivalent law in another jurisdiction.

ReplayTok writes recordings to the third-party cloud storage you link to your account. You are responsible for the storage relationship — including capacity limits, retention, sharing settings, and the terms of your provider — and for keeping your linked credentials valid.

We are not liable for data loss or corruption inside your storage provider, for charges they bill you, or for content moderation decisions they make. If your provider revokes our access, uploads will fail until you re-link.

ReplayTok is not affiliated with, endorsed by, or sponsored by TikTok, ByteDance, or any of its affiliates. TikTok is a trademark of its owner. You are responsible for complying with TikTok's terms of service when you use our product alongside theirs.

The Service interacts with third-party providers (payments, identity, cloud storage). Your use of those services is governed by their own terms; we are not responsible for their actions or omissions.

The Service, including its software, design, brand, and documentation, is owned by ReplayTok or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

If you send us feedback, ideas, or suggestions, you allow us to use them to improve ReplayTok without payment or obligation to you. Feedback is not Your Content.

We respect intellectual-property rights and respond to valid notices of infringement. To file a DMCA notice, send the following to dmca@replaytok.com:

• identification of the work claimed to be infringed;
• identification of the material that is allegedly infringing, with enough detail for us to locate it;
• your contact information;
• a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law;
• a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorised to act on its behalf;
• your physical or electronic signature.

We may remove or disable access to allegedly infringing material and terminate repeat infringers. Counter-notices follow the standard DMCA procedure.

You may close your account at any time from Settings → Account. Your right to use the Service ends immediately on closure; data is removed on the schedule described in the Privacy Policy.

We may suspend or terminate your access if you violate these Terms, including the Acceptable Use rules, if we are required to do so by law, or if we discontinue the Service as a whole. Where practical, we will give you reasonable notice and a chance to fix the issue first. On termination, paid balances and any data export are handled as described above and in our Privacy Policy.

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time, or that recordings will be captured without loss. Some jurisdictions do not allow these disclaimers, so they may not apply to you.

To the fullest extent permitted by law, ReplayTok and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (i) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (ii) USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death, personal injury caused by negligence, or fraudulent misrepresentation. EU and UK consumers retain all statutory rights that cannot be waived.

If a third party brings a claim against ReplayTok because of Your Content, your breach of these Terms, or your violation of law or someone else's rights, you are responsible for the resulting reasonable costs and losses to the extent allowed by law. We will give you prompt notice of any such claim and reasonable cooperation in the defence.

Neither party is liable for any failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, civil unrest, network or power outages, denial-of-service attacks, or government action.

If you live in the United States: these Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. You and ReplayTok agree to resolve any dispute first through good-faith informal negotiation; if that fails, disputes will be resolved by binding individual arbitration under the rules of the American Arbitration Association, in English, in Wilmington, Delaware. You waive the right to bring class actions or class-wide arbitration. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@replaytok.com with your name, account email, and the words "arbitration opt-out". Either party may bring an individual claim in small-claims court for matters within its jurisdiction.

If you live in the EU, UK, or another region that guarantees the right to seek redress in your local courts: these Terms are governed by the laws of your country of residence and any dispute may be brought before the competent courts of that country. The arbitration clause above does not apply to you.

We may change these Terms from time to time. If a change is material, we will notify you by email or in the dashboard at least 30 days before it takes effect where required. If you do not agree to the updated Terms, you can stop using the Service and cancel your account before the change takes effect.

These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and ReplayTok and supersede all prior or contemporaneous agreements on the same subject. If any provision is held unenforceable, the remaining provisions continue in effect, and the unenforceable provision is reformed to the minimum extent necessary to make it enforceable.

You may not assign these Terms or your account without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of that provision. Headings are for convenience only and do not affect interpretation.
